Terms and Conditions Policy
These Terms and Conditions (“Terms”) aim to regulate the relationship between Asdaf Business Services Company (“Asdaf” or “We”) and customers (“Client” or “User”) with respect to the use of its electronic store for documents and ISO systems (“Store”). By using the Store and purchasing any products, the Client acknowledges and agrees to be bound by these Terms in full and without exception.
Chapter One: Scope of Services
1.1
The Store provides services for selling digital documents and quality management systems, including but not limited to ISO 9001, ISO 22000, HACCP, and other approved documents for quality management and food safety.
1.2
Any on-site consultancy services, in-person training, or external audits are not included and shall be agreed upon separately.
1.3
All documents offered are digital products available for download and for internal use only within the Client’s establishment.
Chapter Two: Terms of Use
2.1
The Client acknowledges that the use of the documents shall comply with applicable local and international regulations within the Client’s establishment.
2.2
The Store grants the Client a limited, non-exclusive right to access and use the documents for internal purposes only. Republishing, copying, selling, or distributing the documents is strictly prohibited without prior written approval from Asdaf.
2.3
The Client bears full responsibility for any application or modification of the documents outside the scope of the Client’s own establishment.
Chapter Three: Intellectual Property
3.1
All intellectual property rights, including but not limited to copyrights, procedures, designs, templates, textual and digital content, and any educational, technical, or procedural materials available through Asdaf’s electronic Store, are the exclusive and absolute property of Asdaf Business Services Company. No such rights shall be transferred or granted to the Client except through a clear and explicit written agreement from the Company.
3.2
The Client or any third party is strictly prohibited from engaging in any act that infringes upon Asdaf’s intellectual property rights, including—but not limited to—copying, modifying, republishing, translating, distributing, selling, or making available any documents or templates by any means, directly or indirectly, without prior written permission from the Company. Any violation shall be considered a legal infringement subject to civil and criminal liability under the applicable laws of the Kingdom of Saudi Arabia.
3.3
The Client undertakes to maintain the confidentiality of the documents and digital content and not to share them with any individual or entity outside the Client’s establishment. The Client also agrees not to alter or tamper with the content of the documents in any manner, in order to preserve their authenticity, integrity, and compliance with the technical specifications issued by Asdaf.
3.4
Asdaf reserves all legal rights to pursue any entity or individual that violates or misuses any of the Store’s content, products, or trademarks, and has the full right to take any legal actions it deems appropriate to protect its rights.
Chapter Four: Orders and Non-Conforming Products
4.1
When placing an order, the Client must provide accurate and complete information to ensure proper delivery of the product.
4.2
In the event that the Client receives documents that are non-conforming or incomplete:
- The Store shall resend the correct version immediately at no additional cost to the Client.
- The Client must notify the Store of the issue within a maximum period of seven (7) days from receipt of the product.
4.3
The Store reserves the right to investigate any complaint related to non-conforming products and to take appropriate corrective actions.
Chapter Five: Pricing and Payment
5.1
Prices for each document or system are clearly specified on the Store’s page.
5.2
Full payment must be made before granting the Client access to or allowing the download of the documents.
5.3
Any applicable taxes or governmental fees shall be added in accordance with the regulations in force in the Kingdom of Saudi Arabia.
5.4
The Store reserves the right to amend prices at any time. Updated prices shall be published in the Store and will apply to future orders only.
Chapter Six: Data Protection and Confidentiality
6.1
The Store is committed to protecting Clients’ personal data and using it solely for order processing and related communications.
6.2
Clients’ data shall not be shared with any third party except when legally required or with the Client’s written consent.
6.3
The Store undertakes to implement all necessary technical and organizational measures to ensure the confidentiality of digital data and stored documents.
Chapter Seven: Legal Liability
7.1
The Store’s liability is limited to replacing or correcting any non-conforming product in accordance with Chapter Four.
7.2
The Store shall not be liable for any direct or indirect damages resulting from the application or use of the documents within the Client’s establishment.
7.3
Compensation shall not include damages arising from loss of profits, business interruption, or any indirect losses.
Chapter Eight: Amendments
8.1
Asdaf reserves the right to amend these Terms and Conditions at any time.
8.2
The amended version shall be published in the Store, and continued use of the Store after publication shall constitute acceptance of the amended Terms.
8.3
If the Client does not agree to any amendment, the Client may cease using the Store without any additional obligations.
Chapter Nine: Governing Law and Jurisdiction
9.1
These Terms shall be governed by and interpreted in accordance with the laws of the Kingdom of Saudi Arabia.
9.2
Any dispute arising between the Client and the Store shall first be resolved amicably. If such resolution is not possible, the dispute shall be subject to the exclusive jurisdiction of the courts of the Kingdom of Saudi Arabia.
Chapter Ten: Acceptance and Consent
10.1
By using the Store and purchasing documents, the Client acknowledges that they:
- Have read and understood all these Terms and Conditions.
- Agree to comply fully with these Terms.
- Undertake not to resell or republish the documents without prior approval from Asdaf.
10.2
The Client’s acceptance of any electronic purchase form shall be deemed a legally binding consent.
